Terms of use

Users fully understand and agree to the following:

Users will decide whether to use the services or websites of third parties and agree to accept the terms and conditions set by those services or websites, including but not limited to terms regarding product prices, quantity confirmation mechanisms, quantity limits for orders, product delivery, and payment methods. Users are aware and agree that any agreements between users and third-party websites and the services or content provided by third-party websites are not related to Acute.

1.3 Users are aware that any software downloaded through the services should be used in accordance with the relevant provisions of the license provided by that software.

1.4 Users are aware that unless there is a separate written agreement between the user and Acute, these Terms do not grant the user the right to use Acute trademarks, products or product names, slogans, logos, and images.

1.5 Users are aware that other guidelines, terms, agreements, relevant information presented on service transaction pages, website activity rules, and other important notices mentioned in these Terms, which are produced by Acute, are also part of these Terms.

1.6 Users are aware that Acute has the right to modify these Terms at any time, and all modifications will take effect after being published in these Terms. If the user continues to use the services after the modification of these Terms, such usage will be considered as the user"s agreement to accept and comply with all modified terms. Therefore, to ensure that users are aware of their rights and obligations, Acute recommends that users regularly review these Terms. If the user does not agree to comply with these Terms and related legal constraints, the user should immediately stop using the services.

1.7 Users agree that electronic documents are the basis for expressing their intentions in these services.

1.8 Users are aware that, to protect their rights, they should adhere to internet usage customs and etiquette:

Intellectual Property

2.2 Once data is uploaded, transmitted, input, or provided to the services by users, it is considered that users have authorized Acute to use that data freely and in any way without charge.

2.3 If users do not have the right to grant such authorization, please do not upload, transmit, input, or provide such data to the services.

2.4 Users are aware that if Acute discovers any suspected infringement, Acute will terminate the provision of all or part of the services to the user.

2.5 Content provided by third-party websites that is not included in the services but can be accessed through the services, and their ownership and intellectual property rights are owned by the respective content owners and are subject to the protection of current intellectual property laws and international treaties.

2.6 If users become aware of any actual or potential infringement or are required to provide an infringement notice in accordance with the law or relevant regulations regarding any content of the services, please submit a notice to Acute"s regulatory compliance department through the contact window provided in these Terms, and Acute will follow all relevant procedures in accordance with the law.

2.7 Acute, in accordance with the law, will, upon receiving a notice from the copyright owner or their agent, remove or stop the use of any content or service with suspected infringement from the services, suspend the user"s usage rights, or take other appropriate actions. If users believe that the content or service does not involve infringement, they may, in accordance with the law, provide a reply notice to Acute"s contact window, and Acute will follow all relevant procedures in accordance with the law.

Registration

3.1 If registration as a member (hereinafter referred to as "Member") is required to use certain services, users should provide true, accurate, up-to-date, and complete personal information for registration. Users can also update or modify the above information in the services at any time.

3.2 Members can edit, view, and modify their registration information after logging into the services. For security reasons, members should use their account password to log into the services. Members are responsible for maintaining the confidentiality of their account passwords, usernames, and any actions taken using their accounts.

3.3 If Acute becomes aware that a member"s account password has been misused, Acute may immediately suspend or terminate the member"s password, account (or any part thereof), or the use of the services and remove all data related to that member from the services.

3.4 Users should comply with these Terms and not violate any relevant legal provisions. Acute reserves the right to exercise rights including but not limited to confirming the eligibility of users to participate in activities or canceling rewards obtained due to improper user behavior during or after website activities, without further notice. Acute"s failure to exercise the above rights does not mean that Acute waives these rights.

Authorization and Restrictions

4.1 Acute grants users a limited, personal, non-commercial, non-exclusive, non-transferable, non-assignable, and free right to access the services or use part of the services according to these Terms. Users are aware that, except for the rights explicitly granted to users above, these Terms do not transfer or grant any rights to users. Acute reserves all other rights, including but not limited to rights arising from the services, which are owned by Acute and/or its licensors.

Prohibition of Removing Any Statements: Users agree not to remove, conceal, make difficult to read, or alter any statements of rights, regardless of whether these statements are linked to any data in any way.

Duration and Termination

5.1 If the services cannot continue due to any reason beyond Acute"s control, including but not limited to technical issues, unauthorized intervention, fraudulent activities, force majeure such as natural disasters, damage or impact on the conduct, security, fairness, justice, and reasonableness of the services, Acute has the right to cancel, terminate, modify, or suspend the services at any time, or restrict users" use of all or part of the services, within the scope permitted by law, without notice.

5.2 These Terms remain effective until termination by the user or Acute. If the user fails to comply with the provisions of these Terms, the user"s right to use the services will automatically terminate without further notice. In this case, Acute is not responsible for any consequences to the user. After the termination of these Terms, the user should immediately cease using the services or any copies thereof, or all or part of the services.

Disclaimer and Limitation of Liability

Acute ensures that the computer systems for this service have security that meets reasonably expected standards.

6.1 Users acknowledge that this service is provided to them on an "as-is" and "as-available" basis. Users are responsible for all risks associated with the quality and performance of this service, including but not limited to all necessary service fees and maintenance costs. To the extent permitted by law, Acute does not provide any express or implied warranties or guarantees regarding this service and these Terms, including but not limited to the merchantability, fitness for a particular purpose, non-infringement of third-party rights, and any warranties of use or inability to use this service, and Acute does not guarantee the accuracy or reliability of any information obtained through this service. Due to the fact that some countries or regions may not allow the exclusion of implied warranty liabilities, the limitations or exclusions stated above may not apply to you.

6.2 Users should bear all risks associated with using this service or its operation. Users explicitly understand and agree that Acute and all personnel of Acute are not responsible for any derivatives, incidental, direct, indirect, special, punitive, or any other losses (including but not limited to loss of profits, business interruption, data loss, or other monetary losses) that may arise due to these Terms, the use of this service, or the inability to use any part of this service, whether or not Acute has been informed of the possibility of such losses. Because some countries or regions may not allow the complete exclusion of liability or limitations of liability for the aforementioned losses, the limitations or exclusions stated above may not apply to you.

6.3 Acute is not liable for damages caused by the following situations: errors or incorrect information generated by the user or the equipment or programs used in connection with this service during its operation. This includes, but is not limited to, any operational or transmission errors, interruptions, deletions, errors, or delays, as well as technical problems with communication lines, phones, mobile phones, satellite transmissions, related technical issues, or network congestion, website congestion, software malfunctions, theft, damage, or unauthorized use or modification of any information in this service. Additionally, any damage to user computer equipment that may occur due to participation in this service or downloading any information from this service is not the responsibility of Acute.

Indemnification

If Acute suffers any claims or allegations due to user violations of these Terms, other legal regulations, or infringement of third-party rights, the user agrees to defend Acute and its affiliated companies, service or content providers, suppliers, distributors, licensors, executives, directors, and employees, and compensate them for any losses, damages, liabilities, and expenses (including reasonable attorney fees and legal costs) incurred as a result.
